TERMS AND CONDITIONS OF SERVICE

1. INTRODUCTION AND BINDING AGREEMENT This document constitutes a legally binding agreement between Keriajdesigns ("Designer") and the purchasing party ("Client"). By remitting payment for any service, package, or invoice, the Client explicitly acknowledges, understands, and agrees to be bound by the terms and conditions set forth herein. No design services shall commence until full payment is received and this agreement is accepted.

2. FINANCIAL OBLIGATIONS AND STRICT NO-REFUND POLICY

  • 2.1 Payment Terms: All design services require one hundred percent (100%) payment upfront. Keriajdesigns does not accept partial payments, split payments, or deposits. Payments must be processed through the official checkout portal or provided invoice via major credit/debit card, Klarna, or Afterpay.

  • 2.2 No-Refund Policy: Due to the custom and digital nature of the graphic design services provided, Keriajdesigns operates under a strict, non-negotiable no-refund policy. All sales are final. Refunds will only be considered at the sole discretion of the Designer if the Designer initiates project cancellation.

3. CLIENT OBLIGATIONS AND TIMELINES

  • 3.1 Content Submission: The Client is required to submit all necessary materials (including but not limited to text, high-resolution imagery, and completed intake forms) via the designated client portal within seven (7) calendar days of booking.

  • 3.2 Late Submissions: Failure to provide the required materials within the 7-day timeframe will result in a mandatory $75.00 late fee or the immediate cancellation of the project without refund.

  • 3.3 Turnaround Times: Standard design drafts are delivered within two (2) to ten (10) business days following the receipt of all required Client content. Custom or comprehensive packages require ten (10) to fourteen (14) business days. Weekends and federal holidays are strictly excluded from turnaround estimates.

  • 3.4 Expedited Services: Rush services may be requested for an additional $60.00 fee, subject to availability. Rush services are not applicable to full branding suites or website design.

4. REVISIONS AND MODIFICATIONS

  • 4.1 Included Revisions: Standard design projects include a maximum of three (3) complimentary revision rounds. A revision is defined as minor adjustments to text, color, or layout, not a conceptual redesign.

  • 4.2 Additional Revisions: Any revisions requested beyond the initial three rounds will be billed at a rate of $35.00 per revision round. (Note: Custom packages and website designs are subject to their specific, outlined scope regarding revisions).

5. COMMUNICATION, INACTIVITY, AND PROJECT ABANDONMENT

  • 5.1 Communication Standards: All official project correspondence must be conducted via email (keriajco@gmail.com). The Designer maintains a standard response time of 24 to 72 hours for initial inquiries and 24 to 48 hours for active project communication during standard business days.

  • 5.2 Recorded Consultations: To ensure accurate record-keeping and scope compliance, all Zoom consultation calls between the Client and Designer are recorded. Engaging in services constitutes the Client's consent to these recordings.

  • 5.3 Inactivity Penalties: If the Client fails to communicate or respond to project inquiries for fifteen (15) consecutive business days, the project will be placed on hold. To resume work, the Client must pay either a 25% inactivity fee based on the total project cost or a flat $125.00 restart fee, as determined by Keriajdesigns.

  • 5.4 Project Termination: If the Client remains unresponsive for thirty (30) consecutive calendar days, the project shall be deemed legally abandoned. Keriajdesigns will automatically terminate the agreement. No deliverables will be provided, and no refunds will be issued.

  • 5.5 Project Holds: The Client may formally request a project pause of up to thirty (30) days. Approval of such holds is at the sole discretion of the Designer and may be denied based on scheduling constraints.

6. PROFESSIONAL CONDUCT Keriajdesigns reserves the absolute right to refuse service or terminate an active project immediately, without refund, if the Client violates business policies, uses profane or abusive language, or exhibits unprofessional behavior.

7. INTELLECTUAL PROPERTY AND MARKETING RIGHTS

  • 7.1 Usage Rights: Upon project completion and receipt of full payment, the Client is granted the right to use the finalized deliverables for their intended business purposes.

  • 7.2 Portfolio Rights: Unless a formal, written Non-Disclosure Agreement (NDA) is executed prior to the commencement of work, Keriajdesigns reserves the perpetual, royalty-free right to display the final designs across social media platforms, physical or digital portfolios, and all marketing materials.

8. LIMITATION OF LIABILITY The Client assumes full responsibility for the final proofreading of all drafts. Once a design receives final approval from the Client, Keriajdesigns shall not be held legally or financially liable for any typographic errors, omissions, formatting issues, subsequent printing costs, delayed launches, or any direct or indirect loss of revenue arising from the use of the deliverables.

9. DISPUTE RESOLUTION AND GOVERNING LAW

  • 9.1 Dispute Review: In the event of a dispute, claims will be objectively evaluated against documented proof of compliance. This includes the review of all email correspondence, client portal timestamps, delivered files, and recorded Zoom consultations to verify that Keriajdesigns has fulfilled all contractual obligations.

  • 9.2 Governing Law: This Agreement and any disputes arising out of or related to it shall be governed by, construed, and enforced in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of law principles
